The Auditors

Due to the fact that we operate in several countries and adhere to the
appropriate jurisdictions in those countries we make use of a number of
different auditors.

The auditors are responsible to the company for the following:

a. To audit the receiving account to ensure all premiums are received for Cash Back Certificates issued.

b. To audit the receiving account to ensure the distribution of monies to CashBack Sales & Administration S.A. and the investment are correct.

c. To audit the tranches and quantify the exact amount available from each tranche for payment to qualifying holders of the Cash Back Certificates included in the tranche.

d. To audit the twenty-one day certificate registrations (1st Registration) to ensure registrations are performed correctly subject to the terms and conditions of the promotion.

e. To audit certificate registrations twenty-one days prior to the end of the promotion (2nd Registration) to ensure registrations are performed correctly subject to the terms and conditions of the promotion.
